1. Acceptance of Terms
These Terms & Conditions (“Terms”) govern your access to and use of CoSkip's websites, pilot programs, pre-release apps, and related services (the “Services”). By accessing or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the Services.
2. Eligibility & Accounts
- Business use. The Services are intended for business and professional use.
- Accuracy. You must provide accurate account and contact information and keep it current.
- Credentials. You are responsible for safeguarding credentials and for all activities under your account.
3. Early Access / Pilot Terms
CoSkip may provide pre-release, beta, or pilot features (“Pilot”). Pilot is provided for evaluation, may be incomplete or change at any time, and may collect feedback to improve the Services.
- No production warranties. Pilot is provided “as is” without guarantees of availability, performance, or accuracy.
- Feedback. You grant CoSkip a non-exclusive, royalty-free, worldwide license to use feedback for product improvement.
- Termination. CoSkip may modify or terminate Pilot at any time.
4. Permitted Use & Restrictions
- Comply with applicable laws, safety rules, and industry standards when using the Services.
- Do not misuse the Services (e.g., reverse engineer, interfere with operation, bypass security, or use to create competing datasets/models).
- Do not upload unlawful, infringing, or harmful content. Do not attempt to identify natural persons from pseudonymized data.
- If you are an admin, ensure your users comply with these Terms.
5. Customer Data & Ownership
“Customer Data” means content you or your users submit to or capture through the Services (e.g., voice inputs, photos/videos for proof of work, checklists, timestamps). As between you and CoSkip, you own Customer Data.
You grant CoSkip the limited rights necessary to provide and support the Services (e.g., processing, storage, display, transmission, backup). For enterprise customers, data processing terms are governed by the DPA. CoSkip does not use Customer Data to train general models without your permission.
6. Security, Privacy & DPA
CoSkip implements administrative, technical, and physical safeguards designed to protect Customer Data. Privacy practices are described in our Privacy Policy. Where required, cross-border transfers rely on appropriate safeguards such as SCCs.
- Processor role. For enterprise customers, CoSkip generally acts as a processor/service provider under the DPA.
- Subprocessors. Current subprocessors are listed at /subprocessors.
- Zero-retention options. Where available, admins can configure on-device or zero-retention modes for specific features.
7. Third-Party Services
The Services may interoperate with or link to third-party services (e.g., identity providers, ticketing, cloud storage, analytics). CoSkip is not responsible for third-party services or their terms. Where you enable an integration, you authorize CoSkip to exchange data with that service as needed for the integration.
8. Intellectual Property
Except for Customer Data, CoSkip and its licensors own all right, title, and interest in and to the Services, including software, models, documentation, and branding. No rights are granted except as expressly set forth in these Terms.
9. Feedback
If you provide suggestions or ideas (“Feedback”), you grant CoSkip a perpetual, irrevocable, royalty-free license to use the Feedback without restriction or obligation to you.
10. Fees & Payment
Pilot access may be free or discounted. Any paid terms will be set out in an order form or separate agreement. Fees are non-refundable unless stated otherwise. You are responsible for taxes other than CoSkip's income taxes.
11. Term, Suspension & Termination
- Term. These Terms apply while you use the Services.
- Suspension. We may suspend access for security risks, suspected violations, or non-payment (if applicable).
- Termination. Either party may terminate for material breach that remains uncured after notice. You may stop using the Services at any time.
- Effect. Upon termination, your right to use the Services ceases. We will handle Customer Data per the DPA/Privacy Policy and applicable law.
12. Disclaimers
EXCEPT AS EXPRESSLY PROVIDED IN A SIGNED AGREEMENT, THE SERVICES (INCLUDING ANY PILOT FEATURES) ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CoSkip does not warrant that the Services will be uninterrupted or error-free, or that they will meet your requirements.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COSKIP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. COSKIP'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU TO COSKIP FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) $100 IF NO SUCH PAYMENTS HAVE BEEN MADE.
Some jurisdictions do not allow certain limitations; in those cases, the limitations apply to the fullest extent permitted by law.
14. Indemnification
You will defend, indemnify, and hold harmless CoSkip and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with Customer Data, your use of the Services in violation of these Terms, or your violation of applicable law.
15. Export & Sanctions Compliance
You represent that you are not located in, under the control of, or a national or resident of any country or party subject to U.S. embargoes or sanctions. You will not export, re-export, or transfer the Services in violation of export control or sanctions laws.
16. Governing Law & Disputes
These Terms are governed by the laws of the State of New York, excluding its conflicts of law rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York, for any dispute not subject to arbitration.
17. Changes to the Terms
We may update these Terms to reflect operational, legal, or regulatory changes. If changes are material, we will post a notice and update the “Last updated” date above. Your continued use of the Services after changes take effect constitutes acceptance.
