These Terms explain the rules for accessing and using CoSkip websites, pilot programs, pre-release apps, APIs, and related services. They cover account responsibilities, pilot access, permitted use, customer data, privacy, security, third-party services, fees, termination, disclaimers, liability, and dispute terms.

CoSkip services are intended for business and professional use, including websites, pilots, pre-release apps, APIs, and related services.
Pilot, beta, and pre-release features may be incomplete, may change, and are provided for evaluation without production warranties unless a signed agreement says otherwise.
As between you and CoSkip, you own Customer Data. CoSkip receives limited rights needed to provide, support, secure, and operate the services.
CoSkip does not use Customer Data to train general models without your permission.
Users must comply with applicable laws, safety rules, industry standards, account responsibilities, and the permitted-use restrictions in the Terms.
Privacy practices are described in the Privacy Policy. Enterprise processing terms are governed by the DPA where required or applicable.
Integrations and linked services may have their own terms. If you enable an integration, you authorize CoSkip to exchange data as needed for that integration.
The Terms include disclaimers, limitation of liability, indemnification, export/sanctions terms, and governing law provisions that should be reviewed carefully.

The Terms work together with CoSkip’s privacy, data processing, subprocessor, accessibility, and trust resources. For enterprise customers, order forms, signed agreements, and the DPA may provide additional or controlling terms for specific deployments.
CoSkip supports guided work in real field conditions. The Terms help define how pilot access works, how Customer Data is handled, how integrations are authorized, what users and admins are responsible for, and where privacy and data-processing terms apply.
Field teams may test CoSkip on real workflows before broader rollout. The Terms explain how pilot and early-access features are provided.
The Terms explain that Customer Data, such as voice inputs, proof photos/videos, checklists, timestamps, and related workflow content, remains owned by the customer as between the customer and CoSkip.
Admins are responsible for user access, account accuracy, and ensuring their users comply with the Terms.
Where customers enable third-party integrations, the Terms explain that data may be exchanged as needed for the integration.

These Terms & Conditions (“Terms”) govern your access to and use of the websites, pilot programs, pre-release apps, APIs, and related services provided by CoSkip, Inc., a Delaware corporation (“CoSkip,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the Services.

The Services are intended for business and professional use.
You must provide accurate account and contact information and keep it current.
You are responsible for safeguarding credentials and for all activities under your account.
CoSkip may provide pre-release, beta, or pilot features (“Pilot”). Pilot is provided for evaluation, may be incomplete or change at any time, and may collect feedback to improve the Services.

Pilot is provided “as is” without guarantees of availability, performance, or accuracy.
You grant CoSkip a non-exclusive, royalty-free, worldwide license to use feedback for product improvement.
CoSkip may modify or terminate Pilot at any time.
“Customer Data” means content you or your users submit to or capture through the Services (e.g., voice inputs, photos/videos for proof of work, checklists, timestamps). As between you and CoSkip, you own Customer Data.
You grant CoSkip the limited rights necessary to provide and support the Services (e.g., processing, storage, display, transmission, backup). For enterprise customers, data processing terms are governed by the DPA. CoSkip does not use Customer Data to train general models without your permission.
CoSkip implements administrative, technical, and physical safeguards designed to protect Customer Data. Privacy practices are described in our Privacy Policy. Where required, cross-border transfers rely on appropriate safeguards such as SCCs.
For enterprise customers, CoSkip generally acts as a processor/service provider under the DPA.

Where available, admins can configure on-device or zero-retention modes for specific features.

The Services may interoperate with or link to third-party services (e.g., identity providers, ticketing, cloud storage, analytics). CoSkip is not responsible for third-party services or their terms. Where you enable an integration, you authorize CoSkip to exchange data with that service as needed for the integration.
Except for Customer Data, CoSkip and its licensors own all right, title, and interest in and to the Services, including software, models, documentation, and branding. No rights are granted except as expressly set forth in these Terms.
If you provide suggestions or ideas (“Feedback”), you grant CoSkip a perpetual, irrevocable, royalty-free license to use the Feedback without restriction or obligation to you.
Pilot access may be free or discounted. Any paid terms will be set out in an order form or separate agreement. Fees are non-refundable unless stated otherwise. You are responsible for taxes other than CoSkip’s income taxes.
These Terms apply while you use the Services.
We may suspend access for security risks, suspected violations, or non-payment (if applicable).
Either party may terminate for material breach that remains uncured after notice. You may stop using the Services at any time.
Upon termination, your right to use the Services ceases. We will handle Customer Data per the DPA/Privacy Policy and applicable law.
EXCEPT AS EXPRESSLY PROVIDED IN A SIGNED AGREEMENT, THE SERVICES (INCLUDING ANY PILOT FEATURES) ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CoSkip does not warrant that the Services will be uninterrupted or error-free, or that they will meet your requirements.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COSKIP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. COSKIP’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU TO COSKIP FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) $100 IF NO SUCH PAYMENTS HAVE BEEN MADE.
Some jurisdictions do not allow certain limitations; in those cases, the limitations apply to the fullest extent permitted by law.
You will defend, indemnify, and hold harmless CoSkip and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with Customer Data, your use of the Services in violation of these Terms, or your violation of applicable law.
You represent that you are not located in, under the control of, or a national or resident of any country or party subject to U.S. embargoes or sanctions. You will not export, re-export, or transfer the Services in violation of export control or sanctions laws.
These Terms are governed by the laws of the State of New York, excluding its conflicts of law rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York, for any dispute not subject to arbitration.
We may update these Terms to reflect operational, legal, or regulatory changes. If changes are material, we will post a notice and update the “Last updated” date above. Your continued use of the Services after changes take effect constitutes acceptance.
